Terms of Service

Effective August 20, 2026

What this means today

This summary describes how Beagle works right now. It is provided for transparency, it is not part of the Terms of Service, and it does not change anything the Terms of Service says.

  • Beagle Pro is the only subscription offered today: $39.99 per month or $399.99 per year, sold and billed by Apple through your Apple ID.
  • No free trial is offered at this time. The Terms permit Argon to offer one; any trial would be disclosed to you before you enrol.
  • Manage, change, or cancel your subscription in your Apple ID subscription settings. Deleting the app does not cancel it, and refunds are handled by Apple.
  • If a subscription lapses, Beagle switches to export-only mode rather than locking you out — your records stay visible and exportable.

These Terms of Service (“Terms”) are a binding legal agreement between Argon Aerospace, LLC, a Utah limited liability company (“Argon,” “we,” “us,” or “our”), and the person or entity that creates, purchases, administers, accesses, or uses a Beagle account or service (“You,” “Your,” “User,” or “Subscriber”).

These Terms govern access to and use of the Beagle software platform, downloadable applications, hosted services, websites, artificial-intelligence features, storage functions, integrations, support services, and related products made available by Argon (collectively, the “Services”).

These Terms incorporate by reference:

  1. the Beagle Privacy Policy;
  2. the Beagle End User License Agreement, where applicable;
  3. any order form, online checkout page, subscription confirmation, pricing proposal, or similar ordering document accepted by You (“Order”); and
  4. any product-specific terms or data-processing agreement expressly identified as applying to Your subscription.

By creating an account, purchasing a subscription, accessing or using the Services, or selecting a button or checkbox indicating acceptance, You agree to these Terms.

If You do not agree to these Terms, do not access or use the Services.

If You accept these Terms on behalf of a company, law firm, organization, or other legal entity, You represent and warrant that You have authority to bind that entity. In that circumstance, “You,” “User,” and “Subscriber” include that entity and its authorized users.

1. Definitions

1.1 Account Data

“Account Data” means information used to create, administer, secure, bill, and support an account, including names, email addresses, authentication information, subscription information, payment status, user roles, and account settings.

1.2 Administrator

“Administrator” means an authorized user designated to manage a subscription, invite or remove users, assign permissions, manage billing, configure account settings, and act on behalf of the Subscriber.

1.3 Authorized User

“Authorized User” means an individual whom the Subscriber has authorized to access the Services under its subscription.

1.4 Confidential Information

“Confidential Information” means nonpublic information disclosed by one party to the other that reasonably should be understood as confidential because of its nature or the circumstances of disclosure.

Confidential Information includes User Content, security information, nonpublic product information, pricing information, business plans, technical information, software, and trade secrets.

Confidential Information does not include information that the receiving party can establish:

  1. was lawfully known without restriction before disclosure;
  2. became publicly available without breach of an obligation;
  3. was lawfully obtained from a third party without confidentiality restrictions; or
  4. was independently developed without use of the disclosing party’s Confidential Information.

1.5 Documentation

“Documentation” means user guides, help materials, technical instructions, and other documentation Argon makes available for the Services.

1.6 Order

“Order” means an online purchase, order form, pricing proposal, subscription confirmation, statement of work, or other document identifying Services, subscription terms, users, fees, or other commercial terms.

1.7 Output

“Output” means text, summaries, classifications, recommendations, analyses, calculations, predictions, documents, responses, or other material generated or returned by the Services.

1.8 Services

“Services” means the Beagle products and services identified above, including related updates and Documentation.

1.9 Subscriber

“Subscriber” means the person or entity that purchases, controls, or is otherwise responsible for a Beagle subscription.

1.10 User Content

“User Content” means information submitted, uploaded, imported, stored, transmitted, or created through the Services by or for You or an Authorized User, including documents, communications, prompts, files, contacts, matter information, notes, calendar information, and client information.

User Content does not include Account Data, Usage Data, the Services, or Argon’s proprietary materials.

1.11 Usage Data

“Usage Data” means technical, diagnostic, operational, security, and performance information generated from use of the Services, such as device information, log data, feature interactions, error information, and service-performance metrics.

2. Eligibility and Authority

The Services are intended for individuals who are at least eighteen years old.

You represent and warrant that:

  1. You are legally capable of entering into these Terms;
  2. the information You provide is accurate and complete;
  3. You have authority to act for any entity identified as the Subscriber;
  4. You will use the Services only for lawful professional or business purposes; and
  5. You are not prohibited from receiving the Services under applicable law.

3. Services and License

Subject to Your compliance with these Terms and payment of applicable fees, Argon grants You a limited, non-exclusive, non-transferable, non-sublicensable, revocable right during the applicable subscription term to access and use the Services for Your internal professional and business purposes.

The right to use the Services is limited to the number and type of users, devices, accounts, features, and usage levels included in Your subscription.

No ownership interest in the Services is transferred to You.

Use of a downloadable Beagle application is also subject to the Beagle End User License Agreement.

4. Account Administration

4.1 Administrators

The initial purchaser or person who creates an organizational account may be treated as the initial Administrator.

An Administrator may:

  1. invite and remove Authorized Users;
  2. assign roles and permissions;
  3. access account-level settings and information;
  4. purchase additional subscriptions or features;
  5. manage billing and payment information;
  6. authorize integrations;
  7. request export or deletion of User Content; and
  8. otherwise bind the Subscriber concerning administration of the Services.

The Subscriber is responsible for selecting its Administrators and promptly removing administrative access when appropriate.

4.2 Authorized Users

Each Authorized User must have an individual account. Login credentials may not be shared.

The Subscriber is responsible for:

  1. all activity by its Authorized Users;
  2. ensuring that Authorized Users comply with these Terms;
  3. maintaining appropriate internal access controls;
  4. promptly disabling access for persons who are no longer authorized; and
  5. determining which users should have access to particular User Content or features.

4.3 Account Security

You must use reasonable safeguards to protect account credentials and devices.

You must promptly notify Argon if You know or reasonably suspect that:

  1. credentials have been lost, stolen, or compromised;
  2. an unauthorized person has accessed an account;
  3. User Content may have been accessed or disclosed without authority; or
  4. another security incident may affect the Services.

Argon may require multifactor authentication or other security measures.

5. Acceptable Use

You will not, and will not permit another person to:

  1. use the Services unlawfully or in violation of a court order, professional obligation, or third-party right;
  2. submit User Content that You lack authority to submit or process;
  3. infringe intellectual-property, privacy, confidentiality, publicity, or contractual rights;
  4. upload malware, ransomware, spyware, destructive code, or harmful material;
  5. gain or attempt to gain unauthorized access to another account, system, network, or data;
  6. interfere with or disrupt the integrity, security, performance, or availability of the Services;
  7. evade usage limits, authentication controls, subscription controls, or security measures;
  8. conduct penetration testing, vulnerability testing, or security testing without Argon’s prior written authorization;
  9. reverse engineer, decompile, disassemble, decode, or attempt to derive source code, models, algorithms, or nonpublic components of the Services, except to the extent a restriction is prohibited by law;
  10. copy, modify, resell, rent, lease, sublicense, distribute, or create derivative works from the Services;
  11. use the Services or Output to develop, train, benchmark, evaluate, or improve a competing product, artificial-intelligence model, or machine-learning system;
  12. use unauthorized bots, scrapers, crawlers, or automated systems;
  13. impersonate another person or misrepresent Your identity or authority;
  14. send spam, unlawful communications, or deceptive messages;
  15. use the Services to harass, threaten, exploit, or harm another person;
  16. use the Services for high-risk automated decision-making without legally sufficient safeguards and human review; or
  17. assist another person in doing any of the foregoing.

Argon may investigate suspected violations and may remove or restrict access to material that violates these Terms.

6. User Content

6.1 Ownership

As between You and Argon, You retain all ownership rights in User Content.

Argon does not claim ownership of User Content merely because it is stored or processed through the Services.

6.2 Limited Processing Authorization

You grant Argon and its subprocessors a limited, non-exclusive right to host, reproduce, transmit, display, format, index, analyze, and otherwise process User Content only as reasonably necessary to:

  1. provide and support the Services;
  2. carry out Your instructions;
  3. maintain, secure, troubleshoot, and improve the Services;
  4. prevent fraud, abuse, and security threats;
  5. comply with applicable law and valid legal process; and
  6. exercise Argon’s rights and perform its obligations under the governing agreements.

6.3 Your Responsibilities

You represent and warrant that:

  1. You own User Content or have sufficient rights and authority to submit and process it;
  2. Your submission and use of User Content will not violate law, professional obligations, contractual duties, or third-party rights;
  3. You have provided all required notices and obtained all required consents;
  4. You have authority to direct Argon and its subprocessors to process the User Content; and
  5. You will not submit User Content that is prohibited by these Terms.

6.4 Content Decisions

Argon does not ordinarily review or pre-screen User Content.

Argon may access User Content when reasonably necessary to:

  1. provide support requested by You;
  2. investigate a suspected security incident or violation;
  3. maintain or repair the Services;
  4. protect the rights, property, or safety of Argon, users, or third parties; or
  5. comply with law or legal process.

Access by Argon personnel will be limited according to role, purpose, and applicable security procedures.

7. Confidentiality

Each party will:

  1. protect the other party’s Confidential Information using at least reasonable care;
  2. use Confidential Information only to perform obligations or exercise rights under the governing agreements; and
  3. disclose Confidential Information only to personnel, contractors, professional advisers, and service providers who have a need to know and are subject to appropriate confidentiality obligations.

A party may disclose Confidential Information when required by law, subpoena, court order, or governmental demand. Where legally permitted, the receiving party will provide reasonable notice before disclosure so the other party may seek protective relief.

Argon may disclose User Content to service providers and subprocessors as reasonably necessary to provide the Services, subject to appropriate contractual protections.

8. Privacy and Data Processing

Argon will process personal information as described in the Beagle Privacy Policy.

The Subscriber determines what User Content is submitted and is responsible for determining whether its use of the Services complies with applicable privacy, confidentiality, and data-protection requirements.

Where Argon processes personal data on behalf of the Subscriber, the parties may enter into a separate data-processing agreement addressing the nature and purpose of processing, categories of information, duration, confidentiality, security, subprocessors, and other legally required terms.

You are responsible for:

  1. providing required privacy notices;
  2. obtaining required consents and authorizations;
  3. responding to requests by clients, employees, or other data subjects where legally required;
  4. configuring access and retention settings appropriately; and
  5. determining whether the Services are appropriate for the categories of information You intend to process.

9. Security

Argon will maintain commercially reasonable administrative, technical, and organizational safeguards designed to protect User Content against unauthorized access, acquisition, destruction, use, modification, or disclosure.

No electronic system is completely secure. Argon does not guarantee that a security incident will never occur.

You are responsible for security matters within Your control, including:

  1. endpoint and device security;
  2. credential management;
  3. role and permission configuration;
  4. the security of systems connected through integrations;
  5. internal employee and contractor controls;
  6. maintaining independent backups where appropriate; and
  7. promptly installing required updates.

If Argon confirms a security incident affecting User Content, Argon will provide notice as required by applicable law and will take commercially reasonable steps to investigate, contain, and mitigate the incident.

10. Professional Responsibility

Beagle is a software platform. Argon is not a law firm and does not provide legal advice or legal representation.

Use of the Services does not create an attorney-client relationship, fiduciary relationship, or other professional relationship with Argon.

You remain solely responsible for:

  1. Your legal and professional services;
  2. compliance with applicable professional-conduct rules;
  3. protection of confidentiality and privilege;
  4. supervision of lawyers, staff, vendors, technology, and automated systems;
  5. court filings and service;
  6. statutes of limitation and other deadlines;
  7. conflict checks;
  8. trust-accounting and financial compliance;
  9. client communications and informed consent;
  10. the accuracy and legal sufficiency of documents and advice;
  11. maintaining independent calendar, deadline, backup, and quality-control systems; and
  12. all decisions made using the Services.

Beagle is not the official record of any court, agency, client matter, financial account, or deadline.

You may not rely on Beagle as Your sole deadline, docketing, filing, accounting, backup, or records-retention system.

11. Artificial-Intelligence Features

11.1 AI Features

The Services may include features using artificial intelligence, machine learning, large language models, automated classification, natural-language processing, or similar technology (“AI Features”).

11.2 Limitations of Output

Output may be inaccurate, incomplete, misleading, outdated, biased, inconsistent, or unsuitable for a particular purpose. It may omit material information or produce incorrect facts, dates, quotations, calculations, authorities, or citations.

Argon does not review every Output for accuracy or completeness.

11.3 Required Human Review

You agree to use AI Features and Output only with meaningful human review.

Before relying on, communicating, filing, publishing, or acting upon Output, You will independently verify all material:

  1. facts;
  2. dates and deadlines;
  3. calculations;
  4. quotations;
  5. legal authorities and citations;
  6. names and identifying information;
  7. conclusions and recommendations; and
  8. compliance with professional, ethical, contractual, and legal requirements.

11.4 Responsibility for Use

You are solely responsible for:

  1. prompts and User Content submitted to AI Features;
  2. selecting and configuring AI Features;
  3. determining whether an AI Feature is appropriate for a particular matter;
  4. decisions and actions based on Output;
  5. disclosures to clients, courts, employees, and other persons;
  6. maintaining required human supervision; and
  7. ensuring that use of AI Features complies with applicable law and professional obligations.

11.5 Prohibited AI Uses

You will not use AI Features or Output:

  1. as the sole basis for a decision affecting a person’s legal rights, employment, housing, credit, insurance, health, safety, or access to essential services;
  2. to provide unlawful or unauthorized professional services;
  3. to impersonate a person without lawful authorization;
  4. to create or distribute fraudulent, deceptive, defamatory, or unlawful material;
  5. to train or improve a competing artificial-intelligence or machine-learning model; or
  6. in a manner that violates confidentiality, privilege, privacy, or intellectual-property rights.

11.6 Model Training

Except as expressly disclosed in the Privacy Policy or agreed in writing, Argon will not use identifiable confidential User Content to train a generalized artificial-intelligence model offered to unrelated third parties.

Argon may process prompts and Output as necessary to provide the selected AI Feature and may use de-identified or aggregated Usage Data to improve reliability, safety, and performance.

11.7 Third-Party Models

Some AI Features may use third-party model providers. Information submitted to those features may be transmitted to and processed by the applicable provider under contractual restrictions and as described in the Privacy Policy.

12. Third-Party Services and Integrations

The Services may permit access to or integration with third-party products and services, including cloud storage, email, calendars, authentication, payment processing, legal research, communications, and artificial-intelligence services (“Third-Party Services”).

Third-Party Services are not part of the Services unless expressly stated otherwise in an Order.

Your use of a Third-Party Service is governed by Your agreement with its provider.

Argon does not control and is not responsible for:

  1. the availability or operation of a Third-Party Service;
  2. acts or omissions of its provider;
  3. information processed by that provider;
  4. changes to the provider’s terms or functionality; or
  5. loss or damage caused by the Third-Party Service.

When You enable an integration, You authorize Argon to exchange information with the Third-Party Service as reasonably necessary to provide the integration.

Argon may add, replace, suspend, restrict, or discontinue an integration at any time.

13. Beta and Preview Features

Argon may offer alpha, beta, pilot, preview, experimental, or early-access features (“Beta Features”).

Beta Features:

  1. may be incomplete, unstable, or subject to material change;
  2. may contain defects or errors;
  3. may not be supported;
  4. may be subject to additional terms;
  5. may be suspended or discontinued at any time; and
  6. are provided “as is” without warranties or service-level commitments.

You should not use a Beta Feature for critical operations or as the sole repository of important information.

14. Fees and Payment

14.1 Subscription Fees

You will pay the fees stated in the applicable Order or displayed during checkout.

Except where otherwise stated, subscription fees are charged in advance.

14.2 Payment Authorization

Where Beagle is obtained through an application marketplace, the marketplace operator sells and bills the subscription and processes all payment. In that case You authorize the marketplace operator to charge the payment method associated with Your marketplace account for subscription fees, renewals, applicable taxes, and other amounts You authorize, in accordance with that operator's terms. Argon does not process or store Your payment-card details.

Where Argon bills You directly rather than through a marketplace, You authorize Argon and its payment processor to charge Your selected payment method for:

  1. subscription fees;
  2. renewals;
  3. additional users or upgraded features, where offered;
  4. applicable taxes; and
  5. other amounts You authorize.

You must maintain a valid payment method and accurate billing information with whichever party bills You.

14.3 Taxes

Fees do not include sales, use, excise, value-added, or similar taxes unless expressly stated.

You are responsible for applicable taxes other than taxes based on Argon’s net income. Argon may collect taxes when required by law.

14.4 Failed Payments

If payment fails or becomes overdue, Argon may:

  1. retry the payment method;
  2. notify the Administrator;
  3. restrict paid features;
  4. suspend access; or
  5. terminate the subscription.

You remain responsible for amounts incurred before suspension or termination.

15. Free Trials

Argon may offer a free trial or introductory offer subject to eligibility requirements and to the conditions disclosed at the time the offer is presented.

Argon does not commit to offering a trial, and no trial is offered except where one is expressly presented to You before purchase.

Where a trial or introductory offer is made available, the duration, eligibility conditions, whether a payment method is required, whether the offer converts automatically to a paid subscription, and the date and amount of any first charge will be disclosed to You at the point of enrollment or purchase and, where the offer is administered by an application marketplace, by that marketplace.

Argon may modify or discontinue free-trial and introductory offers and may deny or revoke an offer in cases of suspected abuse.

16. Subscription Term and Automatic Renewal

Your initial subscription term is identified in the Order.

Unless You cancel before the end of the current term, Your subscription automatically renews for successive terms of the same duration, except that a longer initial promotional or negotiated term may renew annually if stated in the Order.

Before purchase, Argon will disclose the material renewal terms, including:

  1. the subscription price;
  2. the billing frequency;
  3. the length of the trial, if any;
  4. when charges begin;
  5. how the subscription renews; and
  6. how to cancel.

Renewal charges will be made to the payment method on file.

Argon may send renewal reminders or other notices when required by law or when Argon determines that a reminder is appropriate.

17. Subscription Changes

17.1 Upgrades and Additional Users

Where Argon offers additional users, increased capacity, or additional features, You may purchase them. Not every subscription offers upgrade options, and a subscription may be offered as a single plan with no upgrade path.

Where an upgrade is purchased directly from Argon, Argon may charge a prorated amount for the remainder of the current billing period, and the full upgraded price will apply at renewal. Where the subscription is billed by an application marketplace, plan changes and any proration are handled by that marketplace.

17.2 Downgrades

Where a subscription offers more than one plan, a downgrade generally becomes effective at the beginning of the next renewal term unless otherwise stated.

Downgrading may reduce access to features, users, integrations, or capacity where those are differentiated between plans.

You are responsible for exporting or reorganizing User Content before a downgrade where necessary.

17.3 Price Changes

Argon may change subscription prices upon advance notice.

A price change will ordinarily take effect at the next renewal. Continued use after the renewal date constitutes acceptance of the new price.

18. Cancellation and Refunds

Where Beagle is obtained through an application marketplace, You cancel the subscription through that marketplace's own subscription-management settings, and that marketplace's billing, renewal, cancellation, and refund procedures govern. Deleting the application does not cancel a subscription. Argon cannot cancel or refund a subscription billed by a marketplace operator on Your behalf.

Where Argon bills You directly, You may cancel through the available account-management process or by contacting Argon through the cancellation method identified on the Beagle website.

Cancellation becomes effective at the end of the then-current paid subscription term unless applicable law requires otherwise.

Except where required by law or expressly stated in an Order:

  1. fees are nonrefundable;
  2. cancellation does not produce a prorated refund;
  3. unused time, users, storage, or features do not result in credits; and
  4. You remain responsible for charges incurred before cancellation becomes effective.

Canceling a subscription does not automatically delete the account or User Content.

Purchases made through an application marketplace may be subject to that marketplace’s billing, renewal, cancellation, and refund procedures.

19. Suspension

Argon may suspend or restrict access if:

  1. fees are overdue;
  2. You materially violate these Terms;
  3. Your use presents a security risk;
  4. Your use could harm Argon, the Services, another user, or a third party;
  5. suspension is required by law or legal process;
  6. Argon reasonably suspects fraud, misuse, or unauthorized activity; or
  7. continued access could expose Argon to legal or regulatory liability.

Where reasonably practicable, Argon will provide notice and an opportunity to cure before suspending a paid account.

Argon may suspend access immediately when necessary to address a security emergency, unlawful conduct, fraud, or material risk of harm.

20. Termination

20.1 Termination by You

You may stop using the Services at any time. Ending use does not itself cancel an active paid subscription.

20.2 Termination by Argon

Argon may terminate these Terms or an account if:

  1. You materially breach these Terms and fail to cure the breach within a reasonable period after notice;
  2. You engage in fraud, unlawful conduct, or conduct creating a security emergency;
  3. continued provision would violate law;
  4. Your account remains unpaid;
  5. the Services are discontinued; or
  6. You repeatedly violate applicable usage restrictions.

20.3 Effect of Termination

Upon termination:

  1. Your right to access and use the Services ends;
  2. outstanding fees become due;
  3. You must stop using Argon’s proprietary materials; and
  4. provisions intended by their nature to survive will remain effective.

21. Export, Retention, and Deletion of User Content

During an active subscription, You may export User Content through available export features, subject to technical limitations.

Following expiration or termination, Argon will make User Content available for export for a limited retrieval period identified by Argon at or before the end of the subscription, unless:

  1. a different period is stated in the applicable Order;
  2. deletion is requested earlier;
  3. retention is legally required;
  4. the account was terminated because continued access presents a security or legal risk; or
  5. the User Content cannot reasonably be separated from backup systems before ordinary backup expiration.

After the applicable retrieval period, Argon may delete User Content from active systems without further notice.

Residual copies may remain temporarily in encrypted backups, disaster-recovery systems, logs, or archives until deleted through ordinary retention cycles.

You are responsible for exporting User Content before the retrieval period expires.

Argon is not required to retain User Content indefinitely and is not a substitute for Your independent records-retention or backup system.

22. Account Ownership Disputes

Disputes may arise among firm members, business partners, employers, employees, contractors, or other persons regarding control of an account or User Content.

Argon does not adjudicate private ownership disputes.

Argon may, in its discretion:

  1. maintain the existing account configuration;
  2. request identity, ownership, corporate, or authorization documents;
  3. require joint written instructions;
  4. suspend changes or access;
  5. comply with a court order; or
  6. take another reasonable measure to preserve security and prevent unauthorized disclosure.

Argon may rely on the instructions of the Administrator shown in its records unless Argon receives reliable evidence that the Administrator lacks authority.

23. Intellectual Property

Argon and its licensors own all rights in the Services, Documentation, software, interfaces, designs, models, algorithms, workflows, databases, trademarks, service marks, and other proprietary materials.

No rights are granted except the limited rights expressly stated in these Terms.

You may not use “Argon,” “Beagle,” associated logos, or related branding without prior written authorization.

23.1 Feedback

If You submit ideas, suggestions, or feedback concerning the Services, You grant Argon a perpetual, irrevocable, worldwide, royalty-free right to use and incorporate the feedback without restriction or compensation.

Argon will not publicly identify You as the source without permission.

23.2 Usage Data

Argon may collect and use Usage Data for lawful business purposes, including:

  1. operating and securing the Services;
  2. troubleshooting;
  3. measuring performance;
  4. improving features and user experience;
  5. preventing abuse; and
  6. generating aggregate statistics.

Argon may publish aggregate or de-identified information that does not reasonably identify You, a client, or a specific matter.

24. Copyright Complaints

Argon respects intellectual-property rights.

A copyright owner or authorized representative who believes material available through the Services infringes a copyright may send a written notice to:

The notice should include:

  1. identification of the copyrighted work;
  2. identification and location of the allegedly infringing material;
  3. contact information for the complaining party;
  4. a statement of good-faith belief that the use is unauthorized;
  5. a statement that the information is accurate and that the complaining party is authorized to act; and
  6. a physical or electronic signature.

Argon may remove allegedly infringing material and may suspend or terminate repeat infringers where appropriate.

25. Electronic Communications

You consent to receive electronic communications concerning:

  1. account administration;
  2. security;
  3. billing and renewal;
  4. changes to the Services;
  5. changes to governing agreements;
  6. service interruptions;
  7. support; and
  8. other matters reasonably related to the Services.

Electronic communications satisfy any legal requirement that a communication be in writing to the extent permitted by law.

You are responsible for maintaining a current email address and reviewing communications sent to the account.

26. Service Availability and Changes

Argon may perform maintenance, deploy updates, and modify the Services.

Argon may temporarily suspend access for maintenance, repairs, upgrades, security, or operational reasons.

Argon will use commercially reasonable efforts to minimize material disruptions but does not guarantee uninterrupted availability.

Argon may modify or discontinue a feature. When reasonably practicable, Argon will provide advance notice if a change materially reduces the core functionality of a paid subscription.

Argon may discontinue the Services upon reasonable notice. If Argon permanently discontinues prepaid Services before the end of a paid term for reasons other than Your breach, Argon will provide a prorated refund for the unused portion of the discontinued Services.

27. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES, OUTPUT, DOCUMENTATION, BETA FEATURES, AND RELATED MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS.

ARGON DISCLAIMS ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, SECURITY, RELIABILITY, QUIET ENJOYMENT, AND RESULTS.

ARGON DOES NOT WARRANT THAT:

  1. THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR AVAILABLE AT A PARTICULAR TIME;
  2. DEFECTS WILL BE CORRECTED;
  3. USER CONTENT WILL NEVER BE LOST, CORRUPTED, INTERCEPTED, OR ACCESSED WITHOUT AUTHORIZATION;
  4. OUTPUT WILL BE ACCURATE, COMPLETE, CURRENT, OR SUITABLE;
  5. THE SERVICES WILL MEET A COURT, CLIENT, PROFESSIONAL, REGULATORY, OR BUSINESS REQUIREMENT;
  6. THE SERVICES WILL BE COMPATIBLE WITH EVERY DEVICE, SYSTEM, OR THIRD-PARTY SERVICE; OR
  7. USE OF THE SERVICES WILL PRODUCE A PARTICULAR LEGAL, PROFESSIONAL, FINANCIAL, OR BUSINESS RESULT.

No statement or advice from Argon creates a warranty unless expressly included in a written agreement signed by an authorized representative of Argon.

Some jurisdictions do not permit certain exclusions. Any prohibited exclusion will apply only to the maximum extent permitted by law.

28. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARGON AND ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR:

  1. INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES;
  2. LOST PROFITS, REVENUE, BUSINESS, GOODWILL, OPPORTUNITY, OR ANTICIPATED SAVINGS;
  3. LOSS, CORRUPTION, UNAVAILABILITY, OR DISCLOSURE OF DATA;
  4. MISSED DEADLINES, MISSED FILINGS, DEFAULTS, SANCTIONS, ADVERSE RULINGS, MALPRACTICE CLAIMS, OR PROFESSIONAL-DISCIPLINE MATTERS;
  5. COSTS OF SUBSTITUTE SERVICES;
  6. DAMAGES ARISING FROM THIRD-PARTY SERVICES;
  7. DAMAGES ARISING FROM ACCOUNT-OWNERSHIP DISPUTES; OR
  8. DAMAGES ARISING FROM RELIANCE ON OUTPUT,

REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ARGON WAS ADVISED THAT THE DAMAGES WERE POSSIBLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARGON’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES, THESE TERMS, AN ORDER, OR THE RELATIONSHIP BETWEEN THE PARTIES WILL NOT EXCEED THE GREATER OF:

  1. THE FEES PAID TO ARGON FOR THE AFFECTED SERVICES DURING THE SIX MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
  2. ONE HUNDRED DOLLARS ($100.00).

The limitations do not apply to liability that cannot lawfully be limited or excluded.

The limitations apply collectively to Argon and all persons and entities included in this section and will not be enlarged by multiple claims.

Each limitation is an essential allocation of risk reflected in the pricing of the Services.

29. Indemnification

To the maximum extent permitted by law, You will defend, indemnify, and hold harmless Argon and its affiliates, licensors, service providers, officers, employees, contractors, and agents from claims, proceedings, damages, judgments, liabilities, penalties, costs, and reasonable attorneys’ fees arising out of or relating to:

  1. User Content;
  2. Your use or misuse of the Services;
  3. Your violation of these Terms, an Order, or applicable law;
  4. Your violation of another person’s rights;
  5. Your professional services, advice, filings, communications, or decisions;
  6. Your failure to obtain required permission, authority, notice, or consent;
  7. activity by an Authorized User;
  8. Your products or services;
  9. an account-ownership or internal business dispute; or
  10. Your deployment or communication of Output to a client, court, customer, employee, or third party.

Argon will provide reasonable notice of an indemnified claim.

You may control the defense using counsel reasonably acceptable to Argon. You may not settle a claim in a way that admits wrongdoing by Argon, imposes an obligation on Argon, or fails to provide Argon a complete release without Argon’s written consent.

Argon may participate in the defense using counsel of its choice at its own expense.

30. Governing Law and Exclusive Venue

These Terms and all claims, disputes, and controversies arising out of or relating to these Terms, an Order, the Services, or the relationship between You and Argon are governed by the laws of the State of Utah, without regard to conflict-of-laws principles that would require application of another jurisdiction’s laws.

Any action or proceeding arising out of or relating to these Terms, an Order, the Services, or the relationship between You and Argon must be brought exclusively in the Third Judicial District Court in and for Salt Lake County, State of Utah, located in Salt Lake City, Utah.

You and Argon irrevocably consent to the personal jurisdiction of that court and waive any objection based on venue, inconvenient forum, or lack of personal jurisdiction.

Neither party may commence or maintain an action concerning such a dispute in another court, except that Argon may seek temporary, preliminary, or emergency relief in another court when reasonably necessary to protect its systems, intellectual property, Confidential Information, or data pending transfer of the dispute to the agreed court.

To the maximum extent permitted by law, the prevailing party in an action arising from or relating to these Terms is entitled to recover reasonable attorneys’ fees and costs.

31. Waiver of Jury Trial

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND ARGON KNOWINGLY, VOLUNTARILY, AND IRREVOCABLY WAIVE ANY RIGHT TO A TRIAL BY JURY IN AN ACTION ARISING OUT OF OR RELATING TO THESE TERMS, AN ORDER, OR THE SERVICES.

32. Changes to These Terms

Argon may update these Terms from time to time.

For a material change, Argon will provide reasonable advance notice through email, the Services, the Beagle website, or another reasonable method.

Continued use after updated Terms become effective constitutes acceptance.

If You do not agree to updated Terms, You must stop using the Services and cancel the affected subscription.

An amendment will not retroactively alter the parties’ rights concerning a dispute of which Argon received written notice before the amendment became effective.

33. General Provisions

33.1 Entire Agreement

These Terms, the Privacy Policy, the EULA, applicable Orders, and any incorporated product-specific terms constitute the entire agreement concerning the Services and supersede prior or contemporaneous discussions and agreements concerning the same subject matter.

33.2 Order of Precedence

If documents conflict, the following order applies unless expressly stated otherwise:

  1. a separately signed agreement or Order;
  2. a data-processing agreement, solely as to data processing;
  3. product-specific terms;
  4. these Terms;
  5. the EULA, solely as to licensing and use of a downloadable application; and
  6. the Privacy Policy.

33.3 Assignment

You may not assign or transfer these Terms or an account without Argon’s prior written consent.

Argon may assign these Terms in connection with a merger, acquisition, financing, corporate reorganization, sale of assets, change of control, or transfer of the Beagle business.

33.4 Independent Contractors

The parties are independent contractors. These Terms do not create a partnership, joint venture, agency, franchise, fiduciary, employment, or attorney-client relationship.

33.5 Force Majeure

Argon is not liable for delay or failure caused by circumstances beyond its reasonable control, including natural disasters, utility failures, internet failures, labor disputes, governmental actions, war, terrorism, civil unrest, epidemics, cyberattacks, or failures of third-party infrastructure.

33.6 No Waiver

A waiver must be in writing and signed by the waiving party. Failure or delay in enforcing a provision is not a waiver.

33.7 Severability

If a provision is invalid or unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions will remain effective.

33.8 No Third-Party Beneficiaries

Except for marketplace operators expressly identified as third-party beneficiaries in the EULA, these Terms do not create rights for third parties.

33.9 Notices

Argon may provide notices through email, the Services, the Beagle website, or another reasonable electronic method.

Legal notices to Argon must be delivered to the contact information below by personal delivery, nationally recognized overnight delivery, or certified United States mail, with a copy by email.

33.10 Interpretation

Headings are for convenience only.

The words “including” and “includes” mean “including without limitation.”

A reference to a law includes amendments and successor provisions.

33.11 Electronic Acceptance

Electronic acceptance, electronic signatures, and electronic records have the same force and effect as original signatures and paper records.
