End User License Agreement

This End User License Agreement (“EULA”) is a binding legal agreement between Argon Aerospace, LLC, a Utah limited liability company (“Argon,” “we,” “us,” or “our”), and the individual or entity accepting this EULA (“You,” “Your,” or “User”).

This EULA governs Your download, installation, access to, and use of the Beagle software application, including any desktop, mobile, or other downloadable version of Beagle, together with all related updates, upgrades, documentation, and components made available by Argon (collectively, the “Application”).

The Application may provide access to software, artificial-intelligence features, hosted services, data-storage functions, integrations, and other services offered under the Beagle name (collectively, the “Services”). Your access to and use of the Services are also governed by the Beagle Terms of Service and Privacy Policy. The Terms of Service and Privacy Policy are incorporated into this EULA by reference.

By downloading, installing, accessing, or using the Application, or by selecting a button or checkbox indicating Your acceptance, You acknowledge that You have read, understood, and agreed to be bound by this EULA. If You do not agree to this EULA, do not download, install, access, or use the Application.

If You accept this EULA for a company, law firm, organization, or other legal entity, You represent and warrant that You have authority to bind that entity. In that circumstance, “You” and “User” include that entity and its authorized personnel.

1. Eligibility

You must be at least eighteen years old and legally capable of entering into a binding contract to use the Application.

The Application is intended for professional and business use. You may not use the Application if You are prohibited from receiving software or services under applicable law.

2. License Grant

Subject to Your continued compliance with this EULA and the Terms of Service, Argon grants You a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to:

1. download and install an authorized copy of the Application on devices that You own or control;
2. access and use the Application for Your internal professional or business purposes; and
3. use the Application solely in connection with an authorized Beagle account and subscription.

The Application is licensed, not sold. Argon and its licensors reserve all rights not expressly granted under this EULA.

3. License Restrictions

You may not, and may not permit another person to:

1. copy the Application except as reasonably necessary for an authorized installation or backup;
2. sell, rent, lease, sublicense, distribute, publish, transfer, assign, or commercially exploit the Application;
3. modify, translate, adapt, or create derivative works based on the Application;
4. reverse engineer, decompile, disassemble, decode, or attempt to derive the source code, underlying models, algorithms, structure, or organization of the Application, except to the limited extent such a restriction is prohibited by applicable law;
5. circumvent or interfere with authentication, security, license-management, usage-control, or access-control features;
6. remove, alter, obscure, or destroy copyright, trademark, attribution, or other proprietary notices;
7. use the Application to develop, train, benchmark, validate, or improve a competing product, artificial-intelligence system, machine-learning model, or service;
8. use automated systems, bots, scrapers, or other means to access the Application except through interfaces that Argon expressly authorizes;
9. use the Application in a way that places an unreasonable or disproportionately large load on the Application or Services;
10. use the Application to transmit malware, destructive code, or material intended to disrupt or compromise any system;
11. gain or attempt to gain unauthorized access to another account, device, network, or data;
12. use the Application in violation of law, court order, professional obligation, or the rights of another person; or
13. assist another person in doing any of the foregoing.

4. Accounts and Subscriptions

Use of some or all features of the Application requires an active Beagle account and subscription.

You are responsible for maintaining the confidentiality of Your login credentials and authentication methods. You are responsible for activity occurring through Your account except to the extent caused by Argon’s failure to exercise commercially reasonable care.

You must promptly notify Argon if You know or reasonably suspect that:

1. Your account or credentials have been compromised;
2. an unauthorized person has accessed the Application or Services; or
3. a security incident may affect information stored or processed through Beagle.

If Your subscription expires, is canceled, is suspended, or is terminated, some or all functions of the Application may become unavailable.

5. Updates and Changes

Argon may provide updates, patches, upgrades, enhancements, new versions, or other modifications to the Application.

Some updates may be installed automatically where permitted by Your device settings and applicable platform rules. You may be required to install an update to continue using the Application.

Argon may modify, replace, add, suspend, or discontinue features of the Application. When reasonably practicable, Argon will provide advance notice of a change that materially reduces the core functionality of a paid Service.

This EULA applies to all updates and replacement versions unless Argon provides a separate agreement with the update or replacement version.

6. User Data and Content

“User Content” means documents, communications, notes, matter information, contact information, prompts, files, records, images, and other information that You or an authorized user submits, uploads, imports, stores, transmits, or creates through the Application or Services.

As between You and Argon, You retain ownership of Your User Content.

You grant Argon and its subprocessors a limited, non-exclusive right to host, copy, transmit, display, format, index, process, and otherwise use User Content only as reasonably necessary to:

1. provide, maintain, secure, and support the Application and Services;
2. carry out Your instructions;
3. prevent fraud, misuse, or security threats;
4. comply with applicable law and valid legal process; and
5. exercise Argon’s rights and perform its obligations under this EULA, the Terms of Service, and the Privacy Policy.

You represent and warrant that You have all rights, permissions, authorizations, and lawful bases necessary to submit and process User Content through the Application.

Argon does not acquire ownership of User Content merely because it is processed through the Application.

7. Professional Responsibility and Legal Practice

Beagle is a software tool. Argon is not a law firm and does not provide legal advice or legal representation.

Your use of Beagle does not create an attorney-client relationship, fiduciary relationship, or other professional relationship between You or any other person and Argon.

Beagle is not a substitute for professional judgment. You remain solely responsible for:

1. reviewing and verifying all information, documents, dates, calculations, citations, deadlines, recommendations, and outputs;
2. determining whether any output is accurate, complete, current, appropriate, and legally sufficient;
3. complying with court rules, filing requirements, statutes, professional-conduct rules, confidentiality duties, privilege obligations, and other legal or ethical requirements;
4. obtaining all required client instructions, authorizations, disclosures, and consents;
5. supervising employees, contractors, and technology used in Your professional practice;
6. maintaining independent calendars, backups, deadline controls, and quality-assurance procedures; and
7. making all professional decisions.

You may not represent that Argon has reviewed, endorsed, approved, or guaranteed any document, legal position, deadline, analysis, or professional decision.

8. Artificial-Intelligence Features

The Application may include features that use artificial intelligence, machine learning, large language models, automated classification, natural-language processing, or similar technologies (“AI Features”).

AI Features may generate text, summaries, classifications, suggestions, analyses, predictions, citations, dates, calculations, or other materials (“AI Output”).

AI Output may be inaccurate, incomplete, misleading, outdated, biased, inconsistent, or unsuitable for Your intended purpose. AI Output may omit material information or identify authorities, quotations, facts, or citations incorrectly.

You agree that:

1. AI Output must be reviewed by a qualified human before it is relied upon, transmitted, filed, published, or used to make a professional decision;
2. You will independently verify all material facts, legal authorities, quotations, citations, calculations, deadlines, and conclusions;
3. You are solely responsible for decisions and actions based on AI Output;
4. You will not use AI Features as the sole basis for a decision affecting a person’s legal rights, employment, housing, credit, insurance, health, safety, or access to essential services;
5. You will not submit information to an AI Feature unless You are authorized to do so;
6. You are responsible for determining whether use of an AI Feature is consistent with Your duties concerning confidentiality, privilege, data protection, supervision, and professional competence; and
7. AI Output does not constitute legal advice from Argon.

Except as expressly described in the Privacy Policy or a written data-processing agreement, Argon will not use identifiable confidential User Content to train a generalized artificial-intelligence model made available to unrelated third parties.

Argon may use de-identified or aggregated technical and usage information to evaluate, secure, and improve Beagle, provided that the information does not reasonably identify You, a client, or a specific legal matter.

9. Privacy

Argon’s collection, use, storage, disclosure, and protection of personal information are governed by the Beagle Privacy Policy.

By using the Application, You acknowledge that information may be processed by Argon and authorized service providers as described in the Privacy Policy.

You are responsible for providing legally required notices and obtaining legally required consents from clients, employees, contacts, and other individuals whose information You submit to Beagle.

10. Third-Party Services

The Application may connect to, rely upon, or permit integrations with products and services provided by third parties, including hosting providers, cloud-storage services, authentication providers, payment processors, communications systems, artificial-intelligence providers, legal-research services, and application marketplaces (“Third-Party Services”).

Third-Party Services are governed by their own agreements and privacy policies. Argon does not control and is not responsible for Third-Party Services.

Argon may add, replace, limit, suspend, or discontinue an integration with a Third-Party Service at any time. The unavailability or failure of a Third-Party Service may affect the operation of the Application.

Your use of a Third-Party Service through Beagle authorizes Argon to exchange information with that service as reasonably necessary to provide the integration You enable.

11. Communications

You consent to receive transactional communications concerning:

1. Your account;
2. authentication and security;
3. subscription and billing matters;
4. service interruptions;
5. updates to the Application;
6. changes to governing agreements; and
7. other information reasonably necessary to administer the Application and Services.

Communications may be delivered electronically, including through email, in-application notices, system notifications, or push notifications.

Marketing communications, if any, will be governed by applicable law and the preferences made available to You.

12. Maintenance and Support

Argon may provide maintenance and support through the methods identified on the Beagle website or within the Application.

Unless Argon expressly agrees otherwise in writing, Argon does not guarantee a particular response time, resolution time, service level, or uninterrupted availability.

Neither Apple, Google, Microsoft, nor any other application marketplace or device provider is responsible for furnishing maintenance or support for the Application.

13. Suspension and Termination

Argon may suspend or restrict Your access to the Application or Services if Argon reasonably determines that:

1. You have materially violated this EULA or the Terms of Service;
2. fees are past due;
3. Your use presents a security risk;
4. Your use may harm the Application, Services, Argon, another user, or a third party;
5. suspension is necessary to comply with law or legal process;
6. Your subscription has ended; or
7. Your account is involved in suspected fraud, misuse, or unauthorized activity.

Where reasonably practicable, Argon will provide notice and an opportunity to cure a remediable violation before terminating a paid account. Argon may act immediately when necessary to address a security emergency, unlawful conduct, fraud, or material risk of harm.

Upon termination of this EULA, the license granted to You ends immediately. You must stop using and delete all copies of the Application under Your control, except to the extent that applicable platform functionality prevents deletion.

Provisions that by their nature should survive termination will survive, including provisions concerning ownership, User Content, restrictions, disclaimers, limitations of liability, indemnification, governing law, and dispute resolution.

14. Intellectual Property

The Application, Services, documentation, interfaces, designs, software, source code, object code, models, algorithms, workflows, databases, trademarks, service marks, and other technology supplied by Argon are owned by Argon or its licensors and are protected by intellectual-property laws.

“Beagle,” associated logos, and related names and branding are trademarks or service marks of Argon. No right to use Argon’s names, marks, or branding is granted except as expressly authorized in writing.

If You provide feedback, suggestions, ideas, or recommendations regarding Beagle, You grant Argon a perpetual, irrevocable, worldwide, royalty-free right to use that feedback without restriction or compensation, provided Argon does not publicly identify You as the source without permission.

15. Export and Sanctions Compliance

You represent and warrant that:

1. You are not located in a country or territory subject to a comprehensive United States government embargo;
2. You are not listed on a United States government list of prohibited or restricted parties; and
3. You will not export, re-export, transfer, or use the Application in violation of applicable export-control, sanctions, or trade laws.

16. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE APPLICATION AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS.

ARGON DISCLAIMS ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, SECURITY, RELIABILITY, QUIET ENJOYMENT, AND RESULTS.

ARGON DOES NOT WARRANT THAT:

1. THE APPLICATION OR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR AVAILABLE AT A PARTICULAR TIME;
2. DEFECTS WILL BE CORRECTED;
3. THE APPLICATION WILL BE COMPATIBLE WITH EVERY DEVICE, OPERATING SYSTEM, NETWORK, OR THIRD-PARTY SERVICE;
4. DATA WILL NEVER BE LOST, CORRUPTED, INTERCEPTED, OR ACCESSED WITHOUT AUTHORIZATION;
5. ANY OUTPUT, DEADLINE, CALCULATION, CITATION, RECOMMENDATION, OR OTHER RESULT WILL BE ACCURATE, COMPLETE, CURRENT, OR SUITABLE; OR
6. THE APPLICATION WILL SATISFY ANY PARTICULAR COURT, CLIENT, PROFESSIONAL, REGULATORY, OR BUSINESS REQUIREMENT.

YOU ARE RESPONSIBLE FOR DETERMINING WHETHER YOUR DEVICES AND SYSTEMS ARE COMPATIBLE WITH THE APPLICATION AND FOR MAINTAINING APPROPRIATE BACKUPS, SECURITY CONTROLS, AND INDEPENDENT DEADLINE SYSTEMS.

Some jurisdictions do not permit certain warranty exclusions. To the extent a disclaimer is prohibited, it will apply only to the maximum extent permitted by law.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARGON AND ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY:

1. INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES;
2. LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, OPPORTUNITY, OR ANTICIPATED SAVINGS;
3. LOSS, CORRUPTION, UNAVAILABILITY, OR DISCLOSURE OF DATA;
4. MISSED DEADLINES, MISSED FILINGS, DEFAULTS, SANCTIONS, ADVERSE RULINGS, MALPRACTICE CLAIMS, OR PROFESSIONAL-DISCIPLINE MATTERS;
5. COSTS OF SUBSTITUTE SERVICES;
6. DAMAGES ARISING FROM THIRD-PARTY SERVICES; OR
7. DAMAGES ARISING FROM RELIANCE ON AI OUTPUT OR OTHER APPLICATION OUTPUT,

REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ARGON WAS ADVISED THAT SUCH DAMAGES WERE POSSIBLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARGON’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE APPLICATION, SERVICES, THIS EULA, OR THE TERMS OF SERVICE WILL NOT EXCEED THE GREATER OF:

1. THE AMOUNT YOU PAID TO ARGON FOR BEAGLE DURING THE SIX MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
2. ONE HUNDRED DOLLARS ($100.00).

The limitations in this section do not apply to liability that cannot lawfully be limited or excluded.

The limitations apply collectively to Argon and all persons and entities included within this section and will not be enlarged by the existence of multiple claims.

18. Indemnification

To the maximum extent permitted by law, You will defend, indemnify, and hold harmless Argon and its affiliates, licensors, service providers, officers, employees, contractors, and agents from claims, proceedings, damages, judgments, liabilities, penalties, costs, and reasonable attorneys’ fees arising out of or relating to:

1. Your User Content;
2. Your use or misuse of the Application or Services;
3. Your violation of this EULA, the Terms of Service, or applicable law;
4. Your violation of another person’s rights;
5. Your professional services, advice, representation, filings, communications, or decisions;
6. Your failure to obtain required authority, notice, permission, or consent;
7. an act or omission of an authorized user under Your account; or
8. a dispute between You and a client, employee, contractor, firm member, account administrator, or third party.

Argon will provide reasonable notice of an indemnified claim. You may control the defense with counsel reasonably acceptable to Argon, but You may not settle a claim in a manner that admits wrongdoing by Argon, imposes an obligation on Argon, or fails to provide Argon a complete release without Argon’s written consent.

19. Application Marketplace Terms

19.1 Apple App Store

If You obtained the Application through Apple’s App Store:

1. this EULA is between You and Argon, not Apple;
2. Argon, not Apple, is solely responsible for the Application and its content;
3. Apple has no obligation to provide maintenance or support for the Application;
4. to the extent the Application fails to conform to an applicable warranty that cannot lawfully be disclaimed, You may notify Apple, and Apple may refund the purchase price, if any, paid for the Application through the App Store;
5. to the maximum extent permitted by law, Apple has no other warranty obligation concerning the Application;
6. Argon, not Apple, is responsible for addressing claims concerning the Application, including product-liability claims, regulatory claims, and consumer-protection claims;
7. Argon, not Apple, is responsible for the investigation, defense, settlement, and discharge of a third-party intellectual-property infringement claim concerning the Application;
8. Your license is limited to use of the Application on Apple-branded products that You own or control and as permitted by Apple’s usage rules, including permitted Family Sharing or volume-purchase functionality; and
9. Apple and its subsidiaries are third-party beneficiaries of this EULA and may enforce the applicable provisions against You.

19.2 Other Marketplaces

If You obtained the Application through another marketplace, Your use is also subject to that marketplace’s applicable terms. This EULA is between You and Argon, not the marketplace operator, and the marketplace operator is not responsible for the Application except to the extent required by law.

20. Changes to This EULA

Argon may update this EULA from time to time.

If a change is material, Argon will provide reasonable notice through email, the Application, the Beagle website, or another reasonable method before the change becomes effective.

Your continued use of the Application after an updated EULA becomes effective constitutes acceptance of the updated EULA. If You do not agree to the updated EULA, You must stop using the Application and cancel any affected subscription.

A change will not retroactively alter the parties’ rights concerning a dispute of which Argon received written notice before the change became effective.

21. Governing Law and Exclusive Venue

This EULA and all claims, disputes, and controversies arising out of or relating to this EULA, the Application, the Services, or the relationship between You and Argon are governed by the laws of the State of Utah, without regard to conflict-of-laws principles that would require application of another jurisdiction’s laws.

Any action or proceeding arising out of or relating to this EULA, the Application, the Services, or the relationship between You and Argon must be brought exclusively in the Third Judicial District Court in and for Salt Lake County, State of Utah, located in Salt Lake City, Utah.

You and Argon irrevocably consent to the personal jurisdiction of that court and waive any objection based on venue, inconvenient forum, or lack of personal jurisdiction.

Neither party may commence or maintain an action concerning such a dispute in any other court, except that Argon may seek temporary, preliminary, or emergency relief in another court when reasonably necessary to protect its systems, intellectual property, confidential information, or data pending transfer of the dispute to the agreed court.

To the maximum extent permitted by law, the prevailing party in an action arising from or relating to this EULA is entitled to recover its reasonable attorneys’ fees and costs.

22. Waiver of Jury Trial

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND ARGON KNOWINGLY, VOLUNTARILY, AND IRREVOCABLY WAIVE ANY RIGHT TO A TRIAL BY JURY IN AN ACTION ARISING OUT OF OR RELATING TO THIS EULA, THE APPLICATION, OR THE SERVICES.

23. General Provisions

This EULA, together with the Terms of Service, Privacy Policy, applicable order documents, and any written product-specific terms, constitutes the entire agreement concerning Your licensed use of the Application.

If this EULA conflicts with the Terms of Service, this EULA controls solely with respect to the licensing and use of the downloadable Application. The Terms of Service control with respect to subscriptions, accounts, hosted services, billing, and other Services.

You may not assign or transfer this EULA without Argon’s prior written consent. Argon may assign this EULA in connection with a merger, reorganization, financing, sale of assets, change of control, or transfer of the Beagle business.

Argon is not liable for delay or failure caused by circumstances beyond its reasonable control.

If a provision is held invalid or unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions will remain effective.

A waiver must be in writing and signed by the waiving party. A failure or delay in enforcing a provision is not a waiver.

Headings are provided for convenience and do not affect interpretation.

The words “including” and “includes” mean “including without limitation.”

Electronic acceptance and electronic records have the same force and effect as original signatures and paper records.
